George K. Kollitides, II

Senior Managing Director and Managing Principal

Chief Investment Officer

 Mr. Kollitides founded Aegis Capital Advisors, a merchant bank that invests in and advises North American lower, middle-market companies, in 2001.  Mr. Kollitides has over 23 years of transaction, strategy and operations experience and has played a significant role as a Partner leading investment transactions and has served as a CEO, Director, Chairman or Lead Director on numerous public, private and non-profit boards, including as a member or Chairman of both Compensation and Audit Committees.  Over his career, Mr. Kollitides has been responsible for investing in acquisitions, recapitalizations, and carve-outs of dozens of companies with revenues of $50 million to over $1 billion in the consumer and retail, government and business services, telecom, and industrial sectors.  He has also completed dozens of add-on acquisitions of companies with revenue of $5 million to over $25 million and has created two platform companies, both with over $1 billion in revenue.  Mr. Kollitides has raised billions of dollars in debt capital through private and public sources.

 He is also the Chairman of the Board of Tier 1 Group, a special forces training business, a Director and  the Chairman of the Compensation Committee of adMarketplace, the third largest search advertiser behind Google and Yahoo, a Senior Advisor to Novo Precision, a manufacturer of machined, precision components for the healthcare industry, a Senior Advisor to Force 12 Media, a digital publication company focused on original military and outdoor content, and a Senior Advisor to the Remington Outdoor Co. (?Remington?), one of the world?s largest, outdoor, consumer companies.

 Most recently, Mr. Kollitides was Chairman and CEO of Remington, an outdoor consumer platform he formed and grew from $60 million of revenue to over $1 billion of revenue by investing in over a dozen companies going through founder transitions and organic growth.   In his capacity as CEO, he had over three thousand employees, three million plus square feet of manufacturing space across multiple facilities and states, and a portfolio of highly recognizable outdoor, consumer brands sold through a complex set of distribution channels from big box retailers to wholesalers. 

 Prior to Remington, Mr. Kollitides was a Managing Director at Cerberus Capital Management, L.P., where he focused on investing in debt and equity of lower middle-market and middle-market companies that exhibited the potential for operating improvements or growth, often times facilitating founder transitions, including successfully creating two companies with over a $1 billion of revenue through platform build-ups.  Mr. Kollitides joined Cerberus from TenX Capital Management, a merchant bank he co-founded, that acquired and operated middle-market companies that exhibited the potential for operating improvements or growth. Prior to co-founding TenX, he was a Principal at Catterton Partners, the largest consumer and retail focused private equity fund.  Mr. Kollitides started his career at GE, in the Corporate Finance Group, where he sourced and underwrote senior and second lien loans.  Mr. Kollitides moved into GE?s Restructuring Group, where he was Six Sigma trained and focused on turning around under-performing businesses.  Upon completing his restructuring assignments, he became one of the founders of GE Equity, where he focused on private equity investments in middle-market growth companies. 

 Mr. Kollitides is involved in several charities, volunteer organizations, and non-profit clubs, including serving as the Vice Chairman of the Orthopedic Foundation for Active Lifestyles, a non-profit focused on orthopedics and musculoskeletal diseases, where he was honored with the 2010 Leadership Award for Philanthropy.  Mr. Kollitides was ranked by Sports One Source as one of 40 under 40 in the sporting goods industry.  He was previously a Member of the Lafayette College Board of Trustees? Financial Policy Committee, a volunteer fireman and a Theta Delta Chi Trustee.

 Mr. Kollitides received an MBA in Finance and Management of Organizations from Columbia Business School in 1998 and a BA in Economics with a Minor in Government and Law from Lafayette College in 1991.  

 

Walter McLallen

Senior Managing Director and Principal

Mr. McLallen has over 25 years of leveraged finance, private equity, restructuring and operations experience, originating, structuring, placing and investing in private equity and debt of lower middle-market and middle-market companies.  He has played a significant role as a banker, capital markets department head, portfolio manager and operating partner with a major investment firm in building a significant consumer products platform company.  He has extensive board and organizational experience and has served as a Director, Chairman or Vice Chairman on numerous private and non-profit boards, including as a member or Chairman of Compensation, Audit and Investment Committees.

 Mr. McLallen has been the Managing Member of Meritage Capital Advisors, an advisory boutique engaged in leveraged finance and private equity origination, distribution, asset management and strategic consulting, since 2004.  He is also a Director and Chairman of the Audit Committee of adMarketplace, the third largest search advertiser behind Google and Yahoo, the Co-Chairman of Tomahawk Strategic Solutions, a government and law enforcement training company, the Vice Chairman of Tier 1 Group, a special forces training business, the Chairman of The Field Outfitting Company, a premium direct marketer of apparel, a Director of Genus Oncology, an early-stage biotechnology company and an Advisor to the Remington Outdoor Company (?Remington?), one of the world?s largest outdoor, consumer companies.

 Most recently, Mr. McLallen was Executive Vice Chairman of Remington, an outdoor consumer platform he co-founded and had a major role in growing from $60 million of revenue to over $1 billion of revenue by acquiring over a dozen companies and through organic growth, from 2006 through 2015.  In his capacity as Vice Chairman, Mr. McLallen worked closely with the CEO in building and strategically positioning the nearly 200 year old company.  Mr. McLallen was involved in a broad range of organizational and operational strategic initiatives, including a complex facility consolidation and relocation and the reorganization of the product and sales organizations. Mr. McLallen was intimately involved in the development and implementation of product strategy and the repositioning of the iconic Remington brand and its sister brands into newly launched celebrity, lifestyle and social media focuses.  Over a period of nine years, Mr. McLallen was responsible for leading and structuring all of the Company?s acquisition and financing transactions, comprised of ten major capital markets transactions, at both the operating and holding company levels.  This multitude of transactions included successfully recapitalizing the Company several times and the return all of its investors? equity capital, plus cash dividends in excess of a 50% return on invested capital; all with no dilution to the owners.

 Meritage Capital Advisors has arranged numerous debt and equity instruments for companies and acquirors, in addition to providing merger and acquisition, distressed debt and restructuring advice.  Mr. McLallen also served as a Managing Director, Co-Principal and Co-Portfolio Manager for Velocity Capital Advisors, which managed a diversified portfolio of middle market leveraged bank loans for Ameritrans Corporation, a publicly-traded business development company, from 2007 through 2012.

 Prior to founding Meritage Capital Advisors, Mr. McLallen was a Managing Director of CIBC World Markets Corp., a major commercial and investment bank, from 1995 to 2004.  From 1995 through 1997, he was a Managing Director responsible for originating and structuring loan, private placement, bond and private equity transactions for a wide variety of companies and private equity-backed acquisition platforms across multiple industries.  In 1997, Mr. McLallen was tasked with forming and running the rapidly growing institution?s debt capital markets function, and was named Head of Debt Capital Markets, a position he held from 1997 through 2004.  In 2001, he took on the additional role of Head of High Yield Distribution (comprising all high yield bond sales, trading and research), which he held from 2001 through 2004.  Mr. McLallen?s roles at CIBC World Markets included the most senior management responsibility for overseeing the firm?s trading portfolios and bridge commitment books.  He was also a member of both the U.S. and Candian parent?s Executive Management Committees.  As Chairman of the Capital Markets Committee, Mr. McLallen was responsible for assessing, structuring and approving all leveraged finance transactions and all commitments of firm capital, overseeing hundreds of loan, private placement and bond transactions totalling tens of billions of dollars during his tenure in these leadership positions.

 Mr. McLallen started his career as an Analyst in the Mergers & Acquisitions Department of Drexel Burnham Lambert.  In 1990, he was a founding member of The Argosy Group, a boutique investment bank which focused on merger and acquisitions, restucturings, private placements and high yield bond issuances.  The Argosy Group was acquired by CIBC World Markets in 1995, becoming its high yield bond and merchant banking group, and gained access to CIBC?s significant capital resources.

 Mr. McLallen is active in numerous charities and volunteer organizations, including currently serving on the boards of Teton Valley Ranch Educational Foundation and the Congressional Sportsmen?s Foundation.  Mr. McLallen is an avid outdoorsman and enjoys hiking, skiing and scuba diving.  He is one of only 100 Regular Members of the Boone and Crockett Club and supports numerous conservation and military-related charities.  Mr. McLallen received a B.A. with a double major in Economics and Finance from the University of Illinois at Urbana-Champaign in 1988.  He is 49 years old and resides in Nashville, Tennessee with his college-aged son.

 

Charles (Bart) Nichols

Mr. Nichols has over 20 years of experience in sourcing, executing and managing private equity transactions as well as numerous debt transactions spanning a variety of situations and industry sectors including entertainment, telecommunications, industrial technology, medical devices and equipment rental, among others.  He has served on the Board of Directors for all of the transactions that he led and was typically also serving on the Compensation Committees as well.

Mr. Nichols is currently a Managing Director and Principal of Aegis Capital Advisors.  Prior to joining Aegis, Mr. Nichols was a Managing Director of a $1 Billion USD denominated out-bound private equity fund for Fosun Group based in Shanghai China.  Fosun Group is one of the largest private conglomerates in China.  While at Fosun, Mr. Nichols led and closed the first foreign LBO ever completed at the company and was responsible for managing and mentoring a team of 13 junior investment professionals both in Shanghai and NYC.

Prior to Fosun, Mr. Nichols was a Managing Director at APCO Capital, a lower middle-market private equity sponsor based in Salt Lake City, Utah, which invested in for-profit healthcare education, aquaculture, aviation services and NPL portfolios and servicing.

Previously, Mr. Nichols was a Senior Vice President at Cerberus Capital Management, a New York based private investment fund with over $25 billion in capital under management.  While at Cerberus, Mr. Nichols led a number of transactions in the telecommunications, entertainment and general industrial sectors.  Prior to Cerberus, Mr. Nichols was a founding partner of Black Diamond Capital Partners, a Utah based private equity sponsor and began his finance career as an investment banker at NationsBank/Montgomery Securities in Charlotte, NC and NYC

Mr. Nichols has been involved in a number of charities and volunteer organizations including Chi Fan for Charity in Shanghai and was the men’s crew coach at the University of North Carolina, Chapel Hill while studying for his MBA.

Mr. Nichols received his MBA from the Kenan-Flagler Business School at the University of North Carolina, Chapel Hill and a BA in Human Biology from Stanford University.  Mr. Nichols currently resides in Park City, UT.
